Ruby R. Vale Competition

The Ruby R. Vale Interschool Corporate Moot Court Competition is hosted annually by the Widener University School of Law, Delaware Campus. This competition consists of three preliminary rounds and is held in March. More information can be found at the competition's website.

Recent issues include (1) whether the a stockholder-passed ammendment to a corporation's bylaws concerning the disqualification of members of its Board of Directors was valid as a matter of Delaware law, and (2) whether the directors of the corporation violated their fiduciary duties by refusing to accept the resignations of members of the Board of Directors who failed to receive a majority stockholder vote.
